  1. Introduction
These Terms & Conditions (“Terms”) govern your access to and use of the website, software, applications, and services (collectively, the “Services”) provided by HIVEGRID PTE. LTD. (UEN: 202605392M), a company incorporated in Singapore with its registered office in Singapore (“HIVEGRID”, “Company”, “we”, “us”, or “our”). By accessing or using our Services, you agree to be legally bound by these Terms. If you do not agree, you must not use our Services.
  1. Eligibility
You must be at least 18 years old or the age of majority in your jurisdiction to use our Services. By using the Services, you represent and warrant that you have the legal capacity to enter into binding agreements.
  1. Scope of Services
HIVEGRID provides:
  • Custom software development
  • Web and mobile application development
  • Enterprise solutions
  • System integration services
  • SaaS-based solutions (where applicable)
  • Technical consulting services
HIVEGRID does not develop gaming software or cybersecurity products under SSIC 62011. All services are subject to project-specific agreements, statements of work (SOW), or commercial contracts where applicable.
  1. Orders and Payment
4.1 Service Orders All orders for Services must be confirmed in writing (including electronic confirmation). HIVEGRID reserves the right to accept or reject any order at its sole discretion. 4.2 Pricing Prices are stated in the applicable currency indicated on the invoice or agreement and are exclusive of applicable taxes unless otherwise stated. 4.3 Payment Terms
  • Payments must be made in accordance with the invoice terms.
  • Late payments may be subject to interest at the maximum rate permitted under Singapore law.
  • HIVEGRID reserves the right to suspend Services for non-payment.
  1. Intellectual Property
Unless otherwise agreed in writing:
  • All intellectual property rights in software, source code, documentation, and materials developed by HIVEGRID remain the property of HIVEGRID until full payment is received.
  • Upon full payment, the client may receive a license or assignment as specified in the relevant agreement.
  • HIVEGRID retains the right to use general know-how, experience, and non-confidential components for other projects.
  1. Client Responsibilities
Clients agree to:
  • Provide accurate and complete information;
  • Cooperate reasonably with HIVEGRID;
  • Obtain necessary third-party licenses and permissions;
  • Ensure that any materials provided do not infringe third-party rights.
Clients are solely responsible for the legality of their business operations and content deployed using HIVEGRID’s software.
  1. Acceptable Use
You agree not to:
  • Use the Services for unlawful purposes;
  • Infringe intellectual property rights;
  • Introduce malware, viruses, or malicious code;
  • Attempt unauthorized access to systems;
  • Violate applicable laws or regulations.
HIVEGRID reserves the right to suspend or terminate access for violations.
  1. Confidentiality
Both parties agree to keep confidential information strictly confidential and not disclose it to third parties without prior written consent, except as required by law.
  1. Data Protection
HIVEGRID processes personal data in accordance with the Personal Data Protection Act 2012 (Singapore) (PDPA) and other applicable laws. Please refer to our Privacy Policy for full details.
  1. Warranties and Disclaimers
To the fullest extent permitted by law:
  • Services are provided “as is” and “as available”.
  • HIVEGRID does not warrant uninterrupted or error-free operation.
  • HIVEGRID disclaims all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.
  1. Limitation of Liability
To the maximum extent permitted by law:
  • HIVEGRID shall not be liable for indirect, incidental, special, consequential, or punitive damages.
  • HIVEGRID’s total liability shall not exceed the total fees paid by the client in the preceding twelve (12) months.
Nothing in these Terms excludes liability that cannot be excluded under Singapore law.
  1. Indemnity
You agree to indemnify and hold harmless HIVEGRID, its directors, employees, and affiliates from any claims, damages, liabilities, or expenses arising from:
  • Your misuse of the Services;
  • Your breach of these Terms;
  • Your violation of applicable laws.
  1. Termination
HIVEGRID may terminate or suspend Services:
  • For breach of these Terms;
  • For non-payment;
  • If required by law.
Termination does not relieve payment obligations accrued prior to termination.
  1. Force Majeure
HIVEGRID shall not be liable for delay or failure due to causes beyond its reasonable control, including but not limited to natural disasters, government actions, cyberattacks, or service outages.
  1. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of Singapore. Your order will be processed in accordance with Singapore law. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.
  1. Amendments
HIVEGRID reserves the right to modify these Terms at any time. Updated versions will be posted on the website with a revised “Last Updated” date.
